BUSINESS FUNCTIONS/ACTIVITIES/SERVICES
• Book Call Bookstore will offer a wide range of books, magazines, and school
supplies. This includes just about every conceivable category including
fiction, non-fiction, business, science, children’s learnings and other types of
books.
• It will offer a relaxing, friendly environment that encourages browsing and
reading.
• We offer a “search and order” service online for customers seeking to find
hard to get items and free delivery depending on the amount of items they
order. We believe that this activity will attract more customers who wanted a
hassle-free book shopping.
• We will provide a maximum amount of inventory in order to satisfy the
booklovers and enable learners to find what they possibly need for school.
SECTION II: CAPITAL
That the capital of this partnership shall be the amount of five million five hundred thousand (Php
5,500,000), contributed in cash by the partners as follows:

That no transfer of interest which will reduce the ownership of Filipino citizens to less that the
required percentage of capital as provided by existing laws shall be allowed or permitted to be
recorded in the proper books of the partnership.
Section V. Compensation

No partner shall receive any salary from the partnership, and the only compensation to be paid shall
be:
1. DIVISION OF PROFITS AND LOSSES
The industrial partner shall first receive a just and equitable share of the profits to be decided by the
partners, and thereafter, each capitalist partner shall share in the profits in proportion to their
capital contribution. All losses occurring in the course of the business shall be borne in the same
proportion by the capitalist partner only.
2. ADVANCE DRAWS
Each partner shall be at liberty to draw out of the business in anticipation of the expected profits any
sums that may be mutually agreed on, and the sums are to be drawn only after there has been
entered in the books of the partnership the terms of agreement, giving the date, the amount to be
drawn by the respective partners, the time at which the sums shall be drawn, and any other
conditions or matters mutually agreed on. The signatures of each partner shall be affixed on the
books of the partnership. The total sum of the advanced draw for each partner shall be deducted
from the sum that partner is entitled to under the distribution of profits as provided for in No. 1.
SECTION VI: Adding Partners
Additional PARTNERS may be added at any time, upon the unanimous
written agreement of the existing PARTNERS, so long as the total
number of PARTNERS does not exceed 10.
The Partnership will amend this agreement to include new partners
upon the written and unanimous vote of all partners. The name of the
Partnership may be amended if a new partner is added to the
Partnership upon the written and unanimous vote of all Partners.
