DEED OF CONDITIONAL SALE

This instrument, made and executed by and between:

MICHAEL OLIVER KEITH D. GUADAŃA and ALANICE FROLINE D.


GUADAŃA, both of legal age, single, Filipino citizens, with residence address at
# 471 B. Maria Pucay Road, Pinsao Proper, Baguio City duly represented by their
appointed Attorney-in-Fact, JOHNNY A. DEGAY and/or ANTONIA P.
DEGAY, both of legal age, Filipino citizens, and with residence address at JB-20-
1, Pico, Km.4, La Trinidad, Benguet, hereinafter called the VENDORS; and

MAY ANN PICAŃA HARTL, of legal age, married to KLEMENS HARTL,


with residence address at Santiago Sur, Caba, La Union represented by her
mother, MELGIE C. PICAŃA, Filipino citizen, of legal age, widow, and with
residence address at Santiago Sur, Caba, La Union, hereinafter called the
VENDEE;

-WITNESSETH-

That the VENDORS are the only surviving legal heirs of the late FRITZIE ELINE D.
GUADAŃA. The late FRITZIE ELINE D. GUADAŃA is the owner of two (2) parcels of land
located in Santiago Sur, Caba, La Union as per that Deed of Absolute Sale executed by GABBY
C. YABUT and MARNIE L. LUMAUAG in favor of FRITZIE ELINE D. GUADAŃA before
Notary Public, which are described as follows:

Parcel One:
TRANSFER CERTIFICATE OF TITLE No. 025-2011000355

“A parcel of land situated in Santiago Sur, Caba, La Union designated as Lot No. 3309, CAD. 719-D.
Beginning at a point marked “1” of Lot No. 309, CAD 719-D, being S. 54-09 W., 822.76 M. from BLLM
No. 1, CAD. 719-D; Thence N. 19-19 E., 18.14 M. to point 2; S. 85-53 E., 31.84 M. to point 3; S. 06-24
W., 17.85 M. to point 4; N. 85-24 W.,33.14 M. to point 5; N. 84-47 W., 2.75 M. to point 1; point of
beginning. Containing an area of FIVE HUNDRED AND NINETY NINE (599) square meters. All
points are marked on the ground by P.S. Cyl. Conc. Mons. Bounded on the W., along line 1-2 by Brgy.
Road; on the N., along line 2-3 by Lot 2816, CAD. 719-D, on the E., along line 3-4 by Lot 2818, CAD.
719-D; on the S., along line 4-5 by Lot 2819, CAD. 719-D; and along line 5-1 by Lot 2838, CAD. 719-D.

“Beginning at a point marked “1” of Lot No. 2819, Cad-719-D, being S. 52-15 W., 824.80 m. from
BLLM No. I, CAD-719-D; thence

N. 71-01 W., 13.72 m. to point 2; N. 02-53 E. 18.47 m. to point 3;


S. 85-24 E., 33.14 m. to point 4; S. 11-16 W., 14.54 m. to point 5;
S. 16-14 E., 4.04 m. to point 6; S. 83-45 W., 19.40 m. to point 1;
point of beginning.

Containing an area of SIX HUNDRED AND FORTY FOUR (644) square meters.

All points are marked on the ground by P.S. Cyl. Conc. Mons. Bounded on the S., along line 1-2 by Lot
2821, CAD. 719-D; on the W., along line 2-3 by Lot 2838, CAD. 719-D; on the N., along line 3-4 by Lot
3309, CAD. 719-D; on the E., along line 4-5 by Lot 2818, CAD. 719-D; along line 5-6 by Lot 3092,
CAD. 719-D; and on the S., along line 6-1 by Lot 2820, CAD. 719-D.”

That the VENDORS hereby sells to the VENDEE who agreed to buy the above-described
lands under the following terms and conditions, to wit:

1. That the total consideration of the sale is TWO MILLION THREE HUNDRED
THOUSAND (Php 2,300,000.00), Philippine currency;

2. That upon signing of this contract the VENDEE shall pay the VENDORS a down
payment amounting to:

March 20, 2021 - Php 800,000.00 (Cash)


March 22, 2021 - Php 200,000.00 (BANK DEPOSIT THRU BDO)
Php 1,000,000.00

3. That the remaining balance of PESOS: ONE MILLION THREE HUNDRED


THOUSAND (Php 1, 300, 000.00) shall be paid on or before June 22, 2021.

4. That after full payment of the price or consideration, the VENDORS and
VENDEE are required to execute a Deed of Absolute Sale for the transfer of
ownership; and

5. All expenses, such as capital gains tax, transfer tax, registration fee and all
incidental expenses shall be to the account of the VENDEE.

The CONTRACT shall be binding upon their heirs, successors, administrators and
assigns of the respective parties hereto.

IN WITNESS WHEREOF, the parties have hereunto set their hands this ___________ at
Caba, La Union.
