    SECRETARY’S CERTIFICATE

    KNOW ALL MEN BY THESE PRESENTS:

    That I, JOCELYN S. GO, Filipino, of legal age, married and a resident of 2C Luna
    Bella Kalubihan, Talamban, Cebu City, Philippines, after having been sworn to in
    accordance with law, do hereby depose and say:

    1. That I am the duly elected and qualified Corporate Secretary of VENRAY


    CONSTRUCTION CORP., a corporation duly organized and existing under the
    laws of the Philippines, with principal office address at 75-B R. Duterte St.,
    Banawa, Cebu City;

    2. That, as Corporate Secretary, I am in charge of the custody of the minutes of


    the meeting of the Board of Directors and those of the stockholders of the
    Corporation and is authorized to issue certification thereof;

    3. That at a Special Meeting of the Board of Directors of the Corporation, held at


    its principal office on November 19, 2019, whereat a quorum was present,
    resolutions of the following tenor were unanimously approved and adopted:

    “RESOLVED, AS IT IS HEREBY RESOLVED, that MR. HOWARD


    REY JEREZA is designated as the authorized officer, as he is hereby
    authorized, to represent the Corporation in the Labor Case filed by
    GERALDINA TUMULAK and CLIMENTE MANOCAY JR., for and in
    behalf of, and to protect and vindicate the rights of the corporation as to
    any and all matters affecting its interests, properties, business, good will,
    with full and special power and authority (a) to cause and authorize the
    preparation and filing of all pleadings, motions, memoranda, affidavits, and
    such other papers or documents as may be needed in the course of the
    trial, (b) to sign and execute all verifications and certifications of non-forum
    shopping and other procedural requirements for pleadings filed on behalf
    of the Corporation for any and all cases instituted or to be instituted by or
    against the Corporation.”

    4. That the foregoing resolutions are still in force and effect and have not been
    amended nor revoked.

    IN WITNESS WHEREOF, I have hereunto signed this instrument in Mandaue


    City, Philippines, this ____ day of ________________, 2019.
