INDEPENDENT CONTRACTOR AGREEMENT
KNOW ALL MEN BY THESE PRESENTS:
This Contract made and entered into, by and between:
MEYER’S FOODS AND SERVICES, INC., a domestic corporation

duly organized and existing under and by virtue of the laws of the
Republic of the Philippines, with principal office at 1030 Belen
Street, Paco, Manila, and represented in this act by its President,
FLORDELIZA A. VASQUEZ, and hereinafter referred to as the
"MEYERS";
- and -
MR. LEONY B. PEREZ, of legal age, Filipino and a resident of

Pasong Langka, Silang, Cavite, and hereinafter referred to as the
"CONTRACTOR";
WITNESSETH: THAT -
MEYERS and the CONTRACTOR, have agreed and covenanted as follows:
1. The CONTRACTOR has been retained by MEYERS as an independent contractor for

the following project:
a. Manufacture and assembly of cross puzzle with king post, trellis

design with bar and six (6) pieces bar chair ;
b. Repair of nine (9) window frames (sliding design) at the second
(2nd) floor of the building ;
c. Manufacture and assembly of grover wood frame design with
mabuhay glass;
2. The CONTRACTOR shall be responsible for successfully completing the above-

described project according to specifications;
3. The project shall start on November 6, 2013 and shall be completed on or before
December 8, 2013;
4. The Project's completion cost shall not exceed TWO HUNDRED TWENTY FIVE
THOUSAND PESOS (P225,000.00), Philippine Currency;
5. MEYERS shall pay ONE HUNDRED FIFTY THOUSAND PESOS (Php 150,000.00) and
the CONTRACTOR shall bill the balance of SEVENTY FIVE THOUSAND PESOS (Php
75,000.00) on a progress billing basis;
6. The CONTRACTOR shall not be entitled to any benefits extended by the Labor Laws
and Legislations to workers and employees or other such benefits that MEYERS
offers to its regular employees;
7. During this project, CONTRACTOR may be in contact with or directly working with
confidential and proprietary information which is important to MEYERS and its
competitive position. All such information must be treated with absolute and strict
confidentiality and may not be used at any time or in any manner in projects or
works that the CONTRACTOR may perform for others in the same industry.
8. CONTRACTOR agrees to indemnify and hold MEYERS harmless from and against any
liability, loss, claim, demand and damage, including costs and attorneys' fees,
resulting from or based upon any infringement or violation, default or breach of this
Contract. MEYERS agree to indemnify and hold CONTRACTOR harmless from and
against any liability, loss, claim, demand and damage, including costs and attorney's
fees, resulting from or based upon any infringement claims made against
CONTRACTOR on account of any information, code, documentation or other
material provided by MEYERS to CONTRACTOR under this Contract.
9. CONTRACTOR shall be liable to pay MEYERS the amount of SEVENTEEN THOUSAND

FIVE HUNDRED PESOS (Php 17,500.00) per month as penalty for failure to complete
the manufacture and assembly of cross puzzle with king post, trellis design with bar
and six (6) pieces bar chair; repair of nine (9) window frames (sliding design) at the
second (2nd) floor of the building; and manufacture and assembly of grover wood
frame design with mabuhay glass installation of wood planks with door, signage and
ceiling or before December 8, 2013.
10. The waiver of a breach of any provision of this Contract by CONTRACTOR will not
operate or be interpreted as a waiver of any other or subsequent breach. This
Contract will be for the benefit of MEYER’S successors and assigns, and will be
binding on CONTRACTOR's heirs, successors and legal representatives.
11. Any action that may arise by virtue of this Agreement shall be filed with the
appropriate court in the City of Manila, to the exclusion of all other courts.

This Agreement consists of three (3) pages, including the page in which this
Acknowledgement is written, has been signed on the left margin of each and every page
thereof by FLORDELIZA A. VASQUEZ and LEONY B. PEREZ, their witnesses and sealed with my
Notary Seal.
IN WITNESS WHEREOF, I have hereunto set my hand, the day, the year, and place
above-written.
