    SUBJECT : SALES REBATE PROGRAM FOR YEAR 2023

    This Memorandum of Understanding shall commence on the 1st January 2023 over the term of 1 year till
    31st December 2023 between:

    (1) CARGOTEC CHS PTE LTD (hereinafter referred as Cargotec) with its office located at 31 International
    Business Park, #05-01/05-01A, Singapore 609921, and

    (2) SCP MECHANICAL CO., LTD. (hereinafter referred to as the Customer) with its office located at 121/99,
    36th Flr, RS Tower, Ratchadaphisek Road, Dindaeng, 10400 Bangkok – Thailand.

    1. 2023 Sales Target and Rebate Amount


    This rebate scheme will be calculated on a yearly basis and shall be a percentage of the total
    cumulative annum spare parts purchased from Cargotec (based on amount invoiced) via Kalmar digital
    online platform (MyParts).

    The rebate calculation for a period of twelve (12) months is as follows:

    Tier Sales Target (Based on Invoice) Rebate_________________________

    1 SGD 550,000 – SGD 659,999 4.5%


    2 SGD 660,000 – SGD 769,999 5.5% + 03 Insight annual subscriptions
    3 SGD 770,000 – SGD 889,999 7.0% + 05 Insight annual subscriptions
    4 SGD 890,000 & above 9.0% + 08 Insight annual subscriptions

    The rebate will be paid via issuance of a Credit Note to be used to offset payments due to Cargotec.

    Insight annual subscriptions are at the customer’s choice of equipment, valid on the equipment with
    valid and working Insight hardware and do not include the retrofit or replacement hardware.

    2. Amendments
    No amendment or modification of this Memorandum shall be valid and binding unless made and
    confirmed in writing or otherwise signed by the parties hereto except such amendments or
    modifications as are permitted by this Memorandum.

    In witness whereof, these conditions have been duly endorsed by the authorised representatives of the parties
    hereto, as of the date hereinabove stated:
