INTRODUCTION
In import and export business, the discussion, exchange, drafting, signing and
performance of contracts in international commercial transactions is one of the
most important things, it determines whether it can be done. the transaction or not,
and is also largely related to how the transaction is performed, as well as the
outcome of the transaction. Therefore, the conclusion of commercial contracts
between countries should be paid special attention, attention and development.
Thus, the international commercial transaction contract carries an importance and
is the core and essential element to perform a transaction. The analysis of the
contract and related documents to clarify the terms, obligations and responsibilities
of the parties involved is of decisive importance before signing a contract. In fact,
despite having performed many transaction contracts with foreign partners, when
conflicts arise, most Vietnamese enterprises still have to suffer losses due to not
properly understanding related responsibilities.

Stemming from the need for scientific research as well as the desire to learn about
a real contract of our team members, our group decided to choose the topic
"Analysis of the contract for importing LED HIGH BAY LIGHT 100W and
related documents between AGC Lighting CO., LTD. and PNS Trading Service
Company Limited on the basis of knowledge of Insurance Transportation.

2.1.1. Theoretical basis
Definition
Bill of lading is a transport document as proof that the carrier has received the
goods with the quantity, type and condition as stated in the bill of lading for
transportation to the place of delivery; proof of ownership of the goods used for
disposition and receipt and as evidence of a contract for the carriage of goods by
sea.

The role and function of the bill of lading

Receipt of goods: signed by the master or an authorized person of the carrier,
issued by the carrier (Carrier/Forwarder Agent) to the shipper (Shipper) meant as a
receipt have received the goods from the consignor. This is the stub function of the
bill of lading for the shipper to determine that the master (the representative of the
shipping vessel) has actually received the goods and keeps the receipt until the
goods are delivered to the consignee at the port of discharge.

Proof of contract of carriage (Evidence of contract of carriage): Bill of lading (B/L)

is only evidence of the contract of carriage between the carrier (Carrier/Forwarder
Agent) and the consignor or shipper (Shipper or Cargo Owner) to transport the
goods under the sale contract (Sale Contract) between the buyer and the seller. B/L
only arises after having the Sale Contract and requesting booking confirmation

Document of title to the goods: Bill of lading is a document of ownership for the
goods stated in this document. This is the most important function or feature of the
bill of lading in international trade today. “Document of title” is to authorize the
valid owner to have title to the goods. This title can be transferred by endorsing the
bill of lading (for transferable bills of lading).

2.4.1. Theoretical basis
Definition
Arrival notice is a detailed notice of a shipping line, a shipping agent or a logistics
company informing you of the schedule, time, quantity, type, weight, name of the
ship, the trip of the shipment. that the company imports from abroad.

Function
- Notice about the status of goods arriving at the entry point
- Accurately determine whether the goods information is sufficient or lacking, and
whether the time has changed as expected.

- The service company declares E-Manifest for goods for both service companies
and shipping lines
- The purchasing unit will conduct customs declaration for imported goods
- The field department will go to the port office to get the delivery order D/O

2.5. Delivery Order

2.5.1. Theoretical basis
Definition
A delivery order (abbreviated D/O) is a document from a consignee, or an owner
or his agent of freight carrier which orders the release of the transportation of cargo
to another party. Usually the written order permits the direct delivery of goods to a
warehouseman, carrier or other person who in the course of their ordinary business
issues warehouse receipts or bills of lading.

Classify
D/O issued by forwarder: This form of D/O is issued by the shipping agent to the
consignee, requesting the consignee to deliver the goods to that consignee.
However, if the forwarder's D/O but FWD is not the issuer of the Bill, then the
consignee does not have the right to pick up the goods, but must have
accompanying documents.

D/O issued by shipping lines: This form of D/O is issued by shipping lines and
asks the person holding the goods to deliver the goods to the recipient (who has
this delivery order). Usually, the shipping line requests delivery to the forwarder
and the forwarder requests to deliver the goods to them. When the forwarder holds
the D/O that the shipping line has issued to him and returns it to the importer along
with the original Bill of the shipping line, the importer is eligible to receive the
goods.

These are two types of D/O arising in two separate cases depending on whether
you work directly with the shipping line or hire FWD, so the D/O fee is only paid
to the direct issuing unit and only once. best.

Chapter 3: Cargo transport chart

3.1. Stage 1: Exporting

AGC Lighting provides all kinds of LED lighting fixtures with high efficiency and
energy saving lighting solutions to a wide range of industrial and outdoor
applications.Lighting requirements vary by application. AGC Lighting offers
lighting solutions that precisely meet the specific needs of the applications.

AGC provides PNS 112 100w High Bay Light packages with a weight of 546.500
kgs equivalent to 5.378 CBM. AGC acts as a supplier in this trade.

Iwasaki Company sent the invoice and packing list to PNS, about the content of
shipping the order from Shenzhen (China) to Ho Chi Minh (Vietnam)

AGC finds a transportation system called SHENZHEN HM to transport goods.

Since SHENZHEN HM is only Freight Forwarding, the company has to keep
looking for a shipping company that has ships. It is SHENZHEN LUCKY
LOGISTICS to transport goods from China to Vietnam.
After having B/L of two companies and Packing List, Invoice of IWASAKI,
continues to deliver goods to SHENZHEN port (China).

Customs procedures and related documents must be completed before the goods
are cleared and on the way to Vietnam.

3.2. Stage 2: Importing

VVMV JSC performs customs clearance, transportation and delivery of goods
between Vietnam and the world. The company representing SHENZHEN HM
LOGISTICS completes the procedures to receive the goods.

TRT is a company specializing in transporting, loading and unloading goods,

providing support services related to transportation. VMVV has notified the arrival
of the goods to TRT for delivery. After that, TRT continues to notify the incoming
