Dear Fritchie,
We are pleased to offer you a Contract for the position of Sales & Marketing Representative to
provide Sales and Marketing Services to “FacilityBot Pte Ltd” (the “Company”) upon the following
terms and conditions:

1. ENGAGEMENT OF SERVICES

1.1 You will provide the Company with the following services:

a. Lead generation: including researching and sourcing for leads through digital/social
marketing/ cold emails/ cold calls and so on in order to get leads

b. Lead qualifying and conversion: including following up with leads generated,

conducting product demos until lead converts by signing up for paid FacilityBot service.

1.2 Your services are engaged as of 14 October 2022 and will extend to and terminate upon
the completion of your work, unless terminated as provided in this Contract.

2. COMPENSATION
2.1 You will be eligible for monthly incentive bonuses if you achieve targets as specified in the
Sales Handbook.

3. INDEPENDENT CONTRACTOR RELATIONSHIP

3.1 Your relationship with the Company will be that of an independent contractor, and nothing
in this contract is intended to, or should be construed to, create a partnership, agency, joint
venture, or employment relationship.

3.2 No part of your compensation will be subject to withholding by the Company for the
payment of any social security, state or any other employee payroll taxes.

3.3 You do not have the authority to bind the Company to any contract, unless first approved in
writing by the Company.

3.4 You should have all the necessary permits and licenses to do the required work, and will
pay your own taxes, and have your own liability insurance as you deem fit.
4. WORKING HOURS AND LOCATION

4.1 You may perform the services required by this Contract at any place or location as agreed
between you and the Company.

4.2 You agree to provide all tools and instruments, if any, required to perform the services
under this Contract, unless otherwise agreed with the Company.

5. TERMINATION AND NOTICE

5.1 The Company may terminate this Contract without cause by giving seven (7) days written
notice.

5.2 You may terminate this Contract without cause by giving seven (7) days written notice.

5.3 The Company has the right to immediately terminate your services if you are guilty of
misdemeanour, misconduct, negligence or breach of any of the terms of this Contract.

5.4 Upon the termination of your Contract, you shall promptly return to the Company all
documents, records, items and materials in your possession or custody belonging to the
Company or its clients, and you shall not retain any copies (including electronic or soft
copies) thereof.

6. NON-SOLICIT / NON-CIRCUMVENTION
6.1 You undertake that you shall not, whether directly or indirectly, during the term of your
Contract and for a period of three (3) years after the Contract has terminated for whatever
reason
(a) interfere with, disrupt or attempt to disrupt the relationship, contract, or other
arrangement between the Company and any client, associate, employee or contractor of
the Company; or canvas or solicit or attempt to contract for direct or indirect employment
any partners, employees, or contractors of the Company who were employed or engaged
by the Company during the term of your Contract nor proceed with any approach made by
or on behalf of any such personnel, unless with the Company's prior written consent; or
(b) contact or solicit or encourage other employees, independent contractors or
consultants (“Company Personnel”) to cease their engagement or terminate their
agreements with the Company, nor recommend any Company Personnel to anyone that
might result in an approach to such personnel cease their engagement or terminate their
agreements with the Company; or
(c) influence the client or any of the Company's clients or prospective clients introduced to
you to refrain from using the Company's services.

7. NON DISPARAGEMENT
7.1 You shall never make at any time, during or after your Contract with the Company, any
disparaging verbal or written statements about the Company, its partners, members,
shareholders, officers, directors or employees.
8. CONFIDENTIALITY

8.1 You shall not disclose to any third party any confidential information obtained during your
course of Contract unless expressly authorised by the Company

8.2 Confidential information for the purposes of this contract includes and is not limited to trade
secrets, intellectual property, business plans, strategies, financial information and any
other information that will affect the Company's competitive position, whether or not such
information is expressly marked as confidential.

8.3 Your obligations to maintain confidentiality and secrecy shall apply after the termination of
your Contract, until such a time that the information is no longer confidential or has been
made public by the Company.

8.4 You shall not without prior written consent of the Company, destroy, make copies,
duplicate or reproduce in any form, the Company's confidential information.

9. INTELLECTUAL PROPERTY

9.1 All materials, documents, work product, software, inventions, discoveries, improvements or
the like, which result from any task undertaken by you during the period of this Contract, or
which you, individually or with others, may originate, develop, design, utilize or reduce to
practice while contracted with the Company relating to the business or products of the
Company, the Company's actual or demonstrably anticipated research or development or
any work performed by you for the Company (individually, a “Creation” and collectively, the
“Creations”) shall, as between you and the Company, belong to and be the sole property of
the Company. You hereby waive any and all “moral rights”, including, but not limited to, any
right to identification of authorship, right of approval on modifications or limitation on
subsequent modification, that you may have in respect of any Creation or Creations. You
further agree, without further consideration, to promptly disclose each such Creation to the
Company and to such other individuals as the Company may direct.

10. SEVERABILITY
10.1 You acknowledge that the covenants and undertakings imposed by this Contract
are reasonable and no greater than is necessary for the protection of the legitimate
interests of the Company. If unforeseen changes occur or any judgement of any Court is
delivered which would render any of the covenants and undertakings invalid or void, you
hereby acknowledge that each of the covenants and undertakings or any parts thereof
being separate and severable, shall, where appropriate, be deleted or amended to the
extent necessary to make such covenants and undertakings effective and enforceable.

10.2 If any term, provision, covenant, undertaking or restriction of this Contract or any
part thereof, is held by a court of competent jurisdiction of any foreign, federal, state,
county or local government or any other governmental, regulatory or administrative agency
or authority to be invalid, void, unenforceable or against public policy for any reason, the
remainder of the terms, provisions, covenants, undertakings and restrictions of this
Contract shall remain in full force and effect and shall in no way be affected or impaired or
 invalidated.

11. ENTIRE AGREEMENT

11.1 This Contract supersedes any and all existing agreements between you and the
Company relating to the terms and conditions of your service, including all prior service
agreements between you and the Company, and supersedes all prior agreements and
understandings relating to the subject matter herein. Other than as agreed in writing
between you and the Company, no other representations, promises, or understandings,
written or oral, express or implied, exist between you and the Company.

12. GOVERNING LAW

12.1 This Contract shall be governed by and construed in accordance with the laws of
Singapore, without regard to conflicts of laws principles. The exclusive jurisdiction of any
dispute under this Contract that is subject to any action in court shall be in the courts
located in Singapore.

Please confirm your acceptance of the above terms and conditions by signing and returning to us
the duplicate copy of this Contract within one (1) day from the date of this Contract.
