1. Introduction
This Service Contract Agreement is a contract between CUSTOMER (hereinafter

CUSTOMER) and Aero Turbomachinery China (hereinafter ATMC) in accordance with the
Scope of Work as stipulated hereafter.
The intention of this contract is to assure a flexible service scope for the GE LM6000PA,
LM6000PD and Brush Turbo Generator BDAX gas turbine package (the unit) at the
CUSTOMER plant in Russia. Basis of this contractual agreement is to secure contractual and
commercial transparency.
In addition, the goal is to build a long term relationship that adds value in optimizing
maintenance and continuous improvement for the exploitation of the unit.
1.1. Contract Objectives
 Optimization of the unit availability and reliability

 Assuring commitment for the future between both parties
 Implementation of a continuous process of evaluation and optimization of
maintenance interventions
 Optimization of the Total Costs for Maintenance

1.2. Contract Scope
This Agreement encompasses ATMC's:

 Planned schedule maintenance outage planning and execution
- Major overhaul of LM6000PA & LM6000PD
- Hot section of LM6000PA & LM6000PD
- Minor and Major Overhaul of the Brush Turbo Generator

3 Commercial
3.1 Service Contract Management Fee
ATMC shall charge XXX per year per unit (Turbine & Generator) to maintain the service
contract with all our technical expertise support.
ATMC will provide one Service Contract Manager to be fully liaising contact point for the
CUSTOMER with the ability to speak Russian language.
3.2 Monitoring System
In order to assist Contractor in its performance of this Agreement, Contractor will monitor the
engine on a daily basis. Contractor will issue a weekly report. The monitoring system will also
be used to increase reliability and assure highest availability. This will done online and
monitoring in China.
The monitoring system cost is USDxxxx per machine. The price is inclusive of the installation
and commissioning.
ATMC shall provide report timely to CUSTOMER on the performance of the machine and
immediately inform to CUSTOMER on any abnormal behavior.
3.3 Planned maintenance
The Planned Maintenance work of the Contractor will consist of (i) Preventative
Maintenance and (ii) Condition Based Maintenance to the extent Contractor determines to
be necessary in accordance with this Agreement, but with a maximum of 2 Hot Section and
Combustor Exchanges and 2 Major Overhaul(s) for gas turbine.
LM6000 Workscope:
A. Borescope Inspection
For a base load Covered Unit operating in the region of 8,000 Fired Hours per year this will
usually be conducted twice a year, at 4,000 and 8,000 Fired Hour intervals. The workscope for
each inspection is the same, except that the 8,000 FH inspection will also include the
calibration of the sensors as recommended by the OEM. For Covered Units operating lesser
hours per year, only one inspection may be necessary, in which case it will also include such
calibration. Notwithstanding the foregoing, during the first two years of operation since
Maintenance Start Date, Contractor will perform 3 Borescope Inspections per year in each
Covered Unit, approximately every 2,800 Fired Hours of operation.
Each borescope inspection is USD XXXX per machine including of field service engineers at
site with equipment.
The price is inclusive of TWO (2) engineers per trip per machine to perform the
borescope inspection at site including all travelling and accommodation expenses.
Reporting
A final written report of the inspection, covering conditions found, work performed, inspection
data, clearance data, operational data after performance test (including power output, heat rate
and vibrations), recommendations, and information concerning spare and renewal parts, will be
prepared and submitted approximately two (2) weeks after the work on Site is completed and
the Gas Turbine is returned to service.
Turnaround time/ event schedule

ATMC anticipates a turnaround time (TAT) of 3 calendar days from commencing of work. The
TAT does not include the travelling time.
The TAT is assuming continued work process, without interruption due to decision pending by
CUSTOMER. Any interruption in the work process due to pending decisions shall be treated as
“waiting time” which will be added to the proposed price.
A. Gas Turbine Hot Section and Combustor Exchange
To be performed at the appropriate time based upon the condition of the Gas Turbine.
All GE rotable Hot Section exchange assets are maintained by an OEM authorized Repair
Facility, and are inspected and repaired in accordance with the applicable GE Industrial
Repair manuals.
The price for the hot section and combustor exchange is as below;

** The price is excludes of the Engineers at site. Please refers to the 2015 Engineer
Schedule Rate.
** Valid Quotations shall be provided before any jobs to be commenced with purchase
order. ** The final price shall base on the final invoice with any findings and extra work to
be carried out.
Each hot section and combustor exchange, ATMC deploy TWO (2) TA Engineers and ONE
(1) TA Trainee. The site shall provide all necessary helpers to work with the engineers.
Reporting

additional jobs required on the findings.
Price Increment
The above quoted prices are valid for year 2015 and the price increment is at 4% annually.
B. Gas Turbine Major Overhaul
To be performed at the appropriate time based upon the condition of the Gas Turbine.
The Major Overhaul is performed by removal of the Owner’s Gas Turbine from
the Site and shipping it to a Repair Facility for overhaul.
1. At the Site
The Site Services necessary to perform the Major Overhaul include:

i. Demounting Owner's engine and making ready to ship to Repair Facility;
ii. Installing Spare Unit.
iii. Removing Spare Unit or Back-up Unit on return of overhauled Owner's Gas Turbine;
iv. Re-installing and re-commissioning Gas Turbine;
2. At a Repair Facility
For information purposes only the following outlines a summary of the current scope of the
depot work for a Major Overhaul that is typically conducted as at the Contract Effective Date.
All work to be performed in accordance with the Industrial Repair Manual (IRM), GEK
105056 work instructions and/or OEM Engineering Shop Procedures.
The major overhaul shall be carried out at site and at a GE license workshop facility.
ATMC field TA specialists and engineers shall be at site during the plant shutdown of the
work scope as above.
The machine shall be crate and prepared for the shipment to GE license workshop for the
major overhaul.
The price of the major overhaul is as below;

** All packing and transportation of the machine to the GE license workshop are excluded in
the above price.
** Valid Quotations shall be provided before any job to be commenced with purchase order.
** The final price shall base on the final invoice with any findings and extra work to be
carried out.
Each major overhaul operation, ATMC deploy TWO (2) TA Engineers and ONE (1) TA Trainee
to the site. The site shall provide all necessary helpers to work with the engineers.
During the overhaul at the license workshop, ONE (1) TA Engineer shall be constantly liaise
with the workshop on any findings and progress. All activities shall be reported to the
CUSTOMER via the Service Contract Manager.
Reporting
The report shall include additional with the workshop activities and test performed.

ATMC anticipates a turnaround time (TAT) of 80 calendar days from Induction upon packing
and preservation. The TAT does not include shipping and handling time.
The TAT is assuming continued work process, without interruption due to decision pending by
CUSTOMER. Any interruption in the work process due to pending decisions shall be treated as
“waiting time” which will be added to the proposed price.
Price Increment
3.4 Unplanned Maintenance
ATMC shall provide 24/7 service to the CUSTOMER by calls and emails on the gas turbine or
generator support in needs.
However, if the field TA specialists or engineers are to be activated for repair at site the charges
are based on the Engineer Schedule Rate.
In the event of repair that only can be performed at license workshop or in local workshop
facility, ATMC TA specialist shall inform to customer with the findings report for CUSTOMER to
make the final decision.
ATMC shall provide CUSTOMER with a new quotation on the additional charges with the new
work scope. CUSTOMER shall provide a new purchase order for the work to be carried out.
ATMC shall dispatch the engineer to site in 48 hours.
Our services includes trim balances, vibration surveys, performance testing, controls calibration
and all level 1 & 2 maintenance.

The normal working hours are 12 hours per day.
Travelling time is charge on a round trip basis from the engineer point of dispatch.
Meal allowances are charge at fixed price of USD 100 per day per engineer without any
receipts at the point when the engineer are dispatch.
The standby / waiting time for the field service engineer requested to wait at the site and it is
chargeable at 6 hours per day (which is 50% of the schedule rate). The meal allowances
without receipts shall be charged the same.
All transportation and hotel (airfare, train, taxi, ferry, rental car) for each dispatch are
chargeable at cost plus 10%.
The Engineer rate shall be changed with prior notice to CUSTOMER.
Upon work completed, the engineer shall request the CUSTOMER to sign on the time sheet
which shall be the basis of the charges.
Tooling Rental Fee
ATMC rents level 1 and 2 special tools at competitive rate.
These tools are available through your Service Contract Manager.
All rental tooling must be accompany with ATMC engineer for the work and it is not rented
separately for direct customer use.
All custom, duties and handling fees incurred by ATMC engineer in the process of importing or
exporting on behalf of the CUSTOMER, including excess baggage and customs duties for
hand carried items will be invoiced at cost plus 10% handling fee.

3.6 Spare Parts
CUSTOMER can contact to ATMC parts department for any spare parts requirement on the
unit. ATMC shall source the OEM parts or refurbish parts (if needed).
The price of the parts are priced below;
OEM Parts - GE List Price + 5%

Refurbish Parts - GE List Price – 30%
** The refurbish parts shall be certified FIT TO USE by our TA Specialist and it shall come
with ONE YEAR Warranty.
3.7 Lease Engine
ATMC shall able to provide lease engine during the major overhaul if required, however it is
depends on the availability of the engine in the market to supply during the period. Hence if the
lease engine is required advance prior notice shall be given to ATMC to prepare.
The price of the lease engine shall only provide at the time of sourcing on the schedule date
required.

4. Turbo generator Maintenance schedule

The Planned Maintenance work of the Contractor will consist of (i) Preventative Maintenance
and (ii) Condition Based Maintenance to the extent Contractor determines to be necessary in
accordance with this Agreement, but with a maximum of 2 minor inspections and 1 major
inspection for the turbo generator.
4.1 Planned Maintenance

The price for the turbo generator minor inspection is USD 100000

** The price is includes of the Engineers at site and the inspection kit; replaceable
and consumables parts.
** Valid Quotations shall be provided before any jobs to be commenced with purchase
order. ** The final price shall base on the final invoice with any findings and extra work to be
carried out.
Each minor inspection job, ATMC deploy TWO (2) Engineers and to the site. The site
shall provide all necessary helpers to work with the engineers.
Reporting

4.2 Spare Parts
CUSTOMER can contact to ATMC parts department for any spare parts requirement on the
unit. ATMC shall source the OEM parts or refurbish parts (if needed).

5. Training
ATMC shall provide yearly five (5) Days training to your engineers at site or attend to our
training courses at special discount rate by our TA Specialist.
The site training is limited to the mechanical handling of the equipment and any immediate
response require when problem arises.
The training course attended our designated facility shall be chargeable at special rate with this
service contract in place.
All transportation and accommodation shall be arranged by the CUSTOMER at their cost on
attending the course.
All training material shall be provided to the CUSTOMER.

6. Organization
The ATMC organisation is based upon a single focal point approach, from where any
communication starts and from there on will be lead to the appropriate responsible department
as has been recorded in the flowchart in attachment I. The roles that are of interest for the
contract are described below.
6.1Service Contract Manager

The dedicated contract manager is responsible for the contractual agreements made between
CUSTOMER and ATMC; in addition he is the focal point of the ATMC organisation and will
address and follow up on CUSTOMER requests. ATMC will provide the Russia speaking
personnel to be in this position.
6.2 Supervisor/Project Manager

The Supervisor is an experienced and trained engineer for gas turbines and gas turbine related
equipment, whom is responsible for the execution and adherence of the planning and
maintenance scope activities at site.
6.3 Technical Advisor

The Technical Advisor (TA) is a highly skilled service specialist, on gas turbines and gas turbine
related equipment, who is responsible for following up engineering related problems and who is
directly in contact with the service supporting departments of product engineering and systems
engineering. He monitors the work and ensures that all works are performed in accordance with
HSSE and quality plans. When there are deviations, the TA has the right to intervene and stop
the work.
6.4 Parts department

The Parts Department handles all requests regarding parts for the gas turbine as well as
gas turbine related equipment. The Parts Department consists out of an experienced
Purchaser. ATMC supplies parts for all gas turbine and package related equipment. This
can be OEM as well as non-OEM parts. All non-OEM parts will be ordered only if agreed
by CUSTOMER. All parts will be examined and quoted before delivery to CUSTOMER.
CUSTOMER will request all needed gas turbine and Brush Turbo generator related parts with
ATMC.
6.5 Organization Flow Chart

all services and support required direct on gas turbine and generator.

- Adequate lifting facilities with lift team personnel
- Suitable protection for the equipment
- Any special equipment and tooling if needed
- Secure storage facilities for the Engineers’ tool and equipment
- Isolation of the equipment, electrically and mechanically
- Services such as fan, air, water, heating, lighting and sanitary facilities.
*All of the above are to be provided by the CUSTOMER at its own expense to enable work to be
expeditiously and continuously carried out. The CUSTOMER shall protect ATMC and the
Engineers and hold them harmless from any claim of liability whatsoever arising from the use of
these facilities.

The Engineer rate shall be changed with prior notice to CUSTOMER.
