Annex A

I 1. INTRODUCTION

I 1.1 You are hereby invited to submit a technical and a financial proposal for consulting services
required for the assignmentnamed in the attachedData Sheet (refened to as "Data Sheet"

I hereafter) annexed with this letter. Your proposal could form the basis for future
negotiationsand ultimately a Contract between your firm and the Client named in the Data
Sheet.

I t.2 A brief description of the assignment and its objectives are given in the Data Sheet.
Details are provided in the attachedRFP for design servicesprovided in the Documents,

l 2. DOCUMENTS

t 2.I To preparea proposal,pleaseusethe Documentsspecifiedin the Data Sheet

2.2 Consultantsrequiring a clarification of the Documents must notify the Client, in writing,
I not later than twenty one (21) days before the proposal submission date. Any request for
clarification in writing, or by cable, telex or tele-fax shall be sent to the Client's address
specified in the Data Sheet. The Client shall respond by cable, telex or tele-fax to such
I requestsand copies of the responseshall be sent to all invited Consultants.

2.3 At any time before the submission of proposals,the Client may,for any reason,whether at
I its own initiative or in responseto a clarification requestedby an invited consulting firm,
modify the Documentsby amendment. The amendmentshall be sent in writing or by cable,
telex or tele-fax to all invited consulting firms and will be binding on them. The Client may

at its discretion extend the deadlinesfor the submissionof proposals.

PREPARATION OF PROPOSAL

I 3.1 TechnicalProposat

.3.1.1 .The Technical Proposalshould be submittedusing the format specifiedand shall include

I duly signed and stamped forms appendedwith the RFP. This is a mandatory requirement
for evaluation of proposalsand.needsto be filled up carefully.

I a. A detailed overall work program to be provided with timing of the assignmentof

Client an opportunity to effectively monitor work progreSs.

I c. Clear description of the responsibilities of each expert staff member within the
overall work program.

I d. The Curriculum Vitae (CV) of all Key Staff membersand an affidavit that proposed
staff shall be available for the assignment during the project duration and their
presentplace of duty may also be specified. The Consultantsare advised to suggest
I such namesthat shall be available for the Assignment.

The technical proposal shall include duly filled in forms provided with this RFP.

I The name, background and professional experienceof each expert staff member to
be assignedto the project, with particular reference to his experienceof work of a
nature similar to that of the proposedassignment.

I proposal. You are required to provide the details of present commitnrents/on-going


jobs as referred in the Form A-10 of technicalproposal. Further, the basis for the
past performance is the report from Design Section and Construction Wing of the
I Client.

3.1.3 In preparing the technical proposal, you are expectedto examine all terms and instructions
I included in the Documents. Failure to provide all requestedinformation shall be at your
own risk and may result adverselyin the scoring of your proposal.The proposalshould be

I preparedas per RFP and any suggestionor review of staff etc. should be clearly spelt out in
form A-4. This will be discussedat the time of negotiation meeting as and when called.

I 3.1.4 During preparation of the technical proposal, you must give particular attention to the
followins:

I a. The Firm needsto be registeredwith PakistanEngineering Council (PEC).

b. If you consider that your fitm does not have all the expertisefor the assignmentyou
I may obtain a full range of experienceby associating with other firms or entities.
You may also utilize the servicesof expatriateexperts but only to the extent for
which the requisite expertiseis not available in any Pakistani firm. In case of Joint
I Venture, the proposal should state clearly partners will be "Jointly and Severally"
responsible for performance under the Contract and one (Repreqentative)partner

I . will be responsiblefor all dealingswith the Client on behalf of the Joint Venture. Its

shall retain the responsibility for the performance of obligations and satisfactory

issuing license to provide consultancy services in Pakistan, which is based on

with Pakistani consulting firms. A copy of JV agr€ementto be provided at the time
of finalizing the contract documentswith specific responsibilities and assignmentsto
I be looked after by eachpartner.

t Subcontractingpart of the assignmentto the other Consultants is not discouraged


and Specialist Sub-Consultantsmay be included.

The key professional staff proposedshall be permanentemployeesof the firm unless


otherwise specified in the Data Sheet. The minimum stay with the firm for such
personsis Six months. No alternativeto key professional staff may be proposed and
only one CV may be submitted for eachposition. The minimum required experience
of proposedKey Staff is specifiedin the Data Sheet.

The training shall be imparled during the currency of the contract if specified in the
Data Sheet.

I 3.1.5 The technical proposal shall not include any financial information. The Consultant's
comntents, if any, on the data, services and facilities to be provided by the Client and
specifiedin the TOR shall be included in the technical proposal.

I 3.2 Financial Proposal

3.2.1 The financial proposalshould be submittedusing the format specifiedand enclosedwith


I this RFP. This is a mandatory requirement for evaluation of proposals and needs to be
filled up carefully.The total cost is to be specifiedin the Form A-I7.

I 3.2.2 The financial proposalshould list the costsassociatedwith the Assignment.

cover remuneration for staff in the field and at headquarters, per diem, housing,
normally

I transportationfor mobilization and demobilization, servicesand equipment (vehicles, office


equipment fuiniture and supplies),printing of documents,surveysand investigations.These
costs should be broken into foreign (if applicable) and local costs. Your financial proposal

I shouldbe preparedusing the formatsattachedas forms A-11 to A-17.

3.2.3 The financial proposal shall also take into account the professionalliability as provided
I under the relevant PEC Bye-Laws and cost of insurancesspecified in the Data Sheet.

3.2.4 Costsmay be expressedin currency(s) listed in the Data Sheet.


I 3.2.5 The evaluation committee will correct arry computational 'errors. When correcting
computational ertors, in caseof discrepancybetweena partial amount and the total amount,
I or between word and figures the formers will prevail. In addition to the above corrections,
activities andite,ms described in the Technical Proposalsbut not priced, in the llinancial

I Proposalsshall be assumed.tobe included in the prices of'other activities or items. In cdse


an activity or item is qutrntified in the Financial Proposal differently from the Technical
Proposal,the evaluationcomrriittee shall correct the quantification specified in the Financial

4. SUBMISSION OF PROPOSALS

I 4.I You shall-submit one original technical proposal and one original financial proposal and the
number of copies of each specified in the Data Sheet.Each proposal shaltrbe in a separate
I envelope indicating original or copy, as appropriate.All technical proposals shall be placed
in an envelope clearly marked "Technical Proposal" and the financial proposals in the one
marked "Financial Proposal". These two envelops, in turn, shall be sealed in an outer
I envelope bearing the addressand information specified in the Data Sheet. The envelope
shall be clearly marked, "DO NOT OPEN, EXCEPT IN PRESENCE OF THE

I 4.2
EVALUATION COMMITTEE.''

In the event of any discrepancy between the copies of the proposal, the original shall

I govern. The original and each copy of the technical and financial proposals shall be
prepared in indelible ink and shall be signed by the authorized Consultant's representative.
The representative's authorization shall be confirmed by a written power of attorney

I accompanying the proposals. A11 pages of the technical and financial proposals shall be

I The proposal shall contain no interlineations or overwriting except as necessaryto correct

I 4.4 The completed technical and financial proposals shall be delivered on or before the time,
date, andthe location specified in the Data Sheet.

1.J The proposalsshall be valid for the number of days statedin the Data Sheetfrom the date of
its submission.During this period, you shall keep available the professional staff proposed

I for the assignment.The Client shall make its best effort to complete negotiations at the
location statedin the Data Sheetwithin this period.

I PROPOSAL EVALUATION

5.1 A Single-Stage-Two-Envelope proceduresshall be adoptedin ranking of the proposals.The

t technical evaluation shall be carried out first, followed by the financial evaluation. The
Consultantsshall be ranked using a combined technicai/financial score.

I <) Technical Proposal

5.2.1 The evaluation committee appointed by the Client shall carry out its evaluation for all the
I projects as listed in Para 1.1, applying the evaluation uiteria and point system specified in
the Data Sheet. Each responsive proposal shall be given a technical score: St. The

t Consirltants scoring less than seventy (70) percent points shall be rejected and their
fi nancialproposalsreturnedun-opened.

I 5.3 Financial Proposal

5.3.1 The financial propdsals of the three top-ranking qualifying Consultants on the basis of

I evaluation of technical proposals shall be opened in the presenceofthe representativesof


theseConsultants,who shall be invited for the occasionand who care to attend.The Client

inform the date, time and addressfor opening of financial proposalsas sirecified in the

I Data Sheet.The total costiand major componentsof each proposal shall be publicly
announcedto the dttendingrepresentativesof the firms.

I 5.3.2 The evaluationcommitteeshall determinewhether the financial proposalsare completeand


without computationalerrors. The lowest financial proposal (Fm) among,all shall be given a
financial ttot., Sf of 1000 points. The financial scoresof the proposali shall be computed

6. NEGOTIATION
I 6.1 Prior to the expiration of proposal validity, the Client shall notify the successfulConsultant

I 6.2 Negotiations normally take fi'om two to five days. The aim is to reach agreement on all
points and initial a draft contract by the conclusion of negotiations.
I 6.3 Negotiations shail commence with a discussion of your technical proposal.

rnethodology, work plan, staffing and any suggestionsyou may have made to improve the
I TOR. Agreement shall then be reached on the final TOR, the staffing, and the bar charts,
which shali indicate activities, staff, and periods in the field and in the home office, staff
months, logistics and reporting.
I 6.4 Changesagreed upon shall then be reflected in the financial proposal, using proposed unit

rates (no negotiation of the staff month rates).

Having selectedConsultantson the basis of, among other things, an evaluation of proposed

I key professional staff, the Client expects to negotiate a contract on the basis of the staff
named in the proposal. Prior to contract negotiations,the Client shall require assurancesthat
the staff members will be actually available. The Client shall not consider substitutions of

I key staff except in cases of un-expected delays in the starting date or incapacity of key
professionalstaff for reasonsof health.

t 6.6 The negotiations shall be concluded with a review of the draft form of the contract. The
Client and the Consultants shall finalize the contract to conclude nesotiations. If
negotiations fail, the Client shall invite the Consultants that received .the sJcond highest

I score in ranking to.Contract negotiations.The procedurewill continue with the third in case
the negotiation processis not successfulwith the secohdranked consultants.

AWARD OF CONTRACT

7.r The contract shall be awarded after successful negotiations with the selected Consultants

I and approved by the competent authority. Upon successful completion of
negotiations/initialing of the draft contract, Ihe Client shall promptly inform the other
Consuitantsthat their proposalshave not been selected.

I 7.2 The selected Consultant is expected to commence the assignmenton the date and at the
location specified in the Data Sheet.

I 8. CONFIRMATION OF RECEIPT

INTRODUCTION

I 1.1 Background

National highways in Baluchistan play an important role from regional perspective as they

I carry transit traffic from Pakistanto Iran, Afghanistan and Central Asian Statesand provide
accessto almost all ports of the country. Total length of the national highways in the
Baluchistanprovince is 4,629 km (38% of the total NHA road network). Baluchistanhas

I still, however, the lowest density of roads among the four provinces of Pakistan. Poor
connectivity and accesscontinue to be a major problem, which particularly affect the poor,
who live mostly in the rural areas.

I NHA has already launched number of road projects for improvement/upgradationof the
road standardsin Baluchistan. Moreover, NHA is also in continuous process of exploring

I new projects which may help in shorteningthe long distancescovered through the existing
road network in Baluchistan. In this regard, Prime Minister Office has desired to initiate
feasibility study and preliminary design of "Road from N{ashkel to Gamilandi on Taftan-

I QuettaRoad".

T 1.2 NeedAssessment

This project will connectMashkel (Iranian border) with Gamilanclia place on Quetta Taftan
t road close to Nohurdi (N-40). At the moment Mashkel is connected with Quetta-Taftan
Road by a dirt road which passesthrough a Marshland of more than 50 km.. The existing
link is passingthrough a plain area.Travelling through the existing dirt road takes over four
I hours and fare charged/transportationcost of the goods is ten times more. During the rainy
seasoncrossing the marshland becomes impossible and existing track remains close for
weeks, forcing the people to go through Iranian territory and exit at Taftan for going to
I Quetta or elsewhere.This has its own security risks becauseof undocumentedmovement
through a foreign country.

TASKS

Task 1,: Data Collection & Co-ordination. With local departments


Outcome: Consultant getshold of relevanf information, SOP Maps,
Satellite imageries and liaison with local
rtment/nolice etc.

3.2 Data Collection & Co-ordination with local departments

Immediately after signing of the Contract, the consultant will get processionof the relevant
maps, reports and imageries for the design of the Project. After the completion of the
design, SOP maps and imageries shall be retumed back to the Client in Original and un-
damaged condition. In case any authorization is required by the Govemment agencies in
obtaining the information, same shall be provided by NHA in the form of letter. The
Consultantsshould inform the local police and administration before conducting all types of
filed surveys. Before planning the field reconnaissance,the consultant should co-ordinate
meeting with the local city development / Highway Department to know any future plans
for city expansionetc.

Task 2: ReconnaissanceVisit.and Alignment Report with alternatives

field reconnaissance.The site visits shall be carried out by a senior highway engineer of not

I less than 15 years of experience.Coordinatedmeetingswith local departmentsshall be done


and minutes recorded-(sameshall be made part of the Alignment report).

I During the reconnaissancevisit, parlicular requirements of project shall be identified that


will be addressedin the detailed design. Other requirement of Task-2 is the submission of
Inception Report. Inception Report should elaboratethe methodologiesfor detail design for

T requirementsspelled out in the TOR and observationsmade in the site visit.

After submission of Alignment report and Inception report, the Consultant will give his

I presentationto the CompetentAuthority in NHA Auditorium for approval of alignment.

In the reconnaissancevisit, consultant should record some Geographic Co-ordinates of

I physical features on ground using GPS. Same shall be used in geo-referencing/orth-


rectification of the satellite imageries.

I At the reconnaissancestage, examination shall be made for the feasibility of eonstructing


the road in particular area. Social, economic and environmentalaspectsshall be considered.
The resulting information will formpart of the recommendationsfor adoption of a particular

I corridor. The purpose of geotechnical input to the reconnaissancephase is to provide a

I Topographicsurvey forms the'basis for the detailed design. Poor quality of suruey work
produces not only incorrect designs but also results in post construction problems with
I variations in cost and claims. It will be ensuredby NHA that the Survey work is of tqp most
order. It is thereforerecommendedthat consultantshould use the latesttechnology for the
topographic surveys, which include GPSDF (4-5 in number) for establishmeni-of high
I accuracy control points. In case.the consultant does not have the requisite number of
GPSDF,he is advisedto hire servicesof professionalsurveyconrpanieshaving the required .

I The type and dimensionsof Survey monumentsto be installed at site is shown here. Besides
start and at the end, it is required that these rnarkers shall be fixed in the traverse line at an
interval of about 300 to 400 meters. These shall be fixed at such locations that these are

I Highway projects are generaily undertakento improve the economic and social welfare of
the people. At the same time, they may also create an adverse impact on the surror"rnding

I environment. People and property in the direct path of the road works are affected. The
environmental and social impact of highway projects include damage to sensitive eco-
systems, soil erosion, changes to drainage pattern and thereby groundwater, interference

T with animal and plant life, loss of productive agricultural lands, resettlement of people,
disruption of local economic activities, demographic changes,acceleratedurbanization and
increasein air pollution. Highway developmentand operation should, therefore, be planned

I with careful consideration of the environmental impact. To minimize these adverseeffects


that may be created by highway developmentprojects, the techniquesof EIA become
necessary.Identification and assessment.ofpotential environmental impact should be an

t integral parl of the project cycle it should commenceearly in the planning processto enable
a full considerationof alternativesand to avoid later delays and complications.

damageand other impacts identified for specific road corridors, and how they would

During field investigations,water samplesfrom various sourcesin the vicinity of

to human consumption. Although, NEQS include 32 water criteria pollutants for
effluents and 16 NEQS for gaseous emissions, NHA prefer and recommend
I basic water quality analysis which may include but not limited to pH, turbidity,
alkalinity, TDS, TSS, 5 day BOD at 20oC, COD, OD, total hardness,chloride,
sodium nitrates, lead, mercury, arsenic, cadmium, total toxic metals, phenolic
I compoundsas phenols,pesticides/ herbicides/ fungicides (in farmland areas)
and E-coli. (a reasonablenumber of sampling and their anabtsisshould depend
upon the road length, other environmental -factors which should provide a
I r easonable r epresentation of water quali\t).

Consultants must identify standard and recognized laboratories. Consultants


I should also provide Analytical Laboratory Reports along with methodologies
and analfiical techniques.used for each parameter. The analysis reports must
include information, addressand contactpersonsof analytical laboratories.
I vii) ' Analysis of Alternatives. Describe the altematives examined for the proposed
project that would achieve the same objective inciuding the 'ono change in
I alignment". Distinguish the most environmentally friendly alternatives. In case of
minor impacts, which can be successfully mititr5atedwithin the ROW and without
changein alignment, there will be no need for the analysis of alternative. In all other
I cases,and especiallyin the caseof major or critical issues,a systematiccomparison
will be undertaken of the proposEd design, site' technology and operational
altemativesin terms of:
I Their potential envitonrnentaland social impactp;

I Capital and recurrentcosts;


Suitability under local conditions;and

I Institutional,training and monitorlng requirements,

For each alternative, the environmental cost and benefits should be quantified to the

I possible extent, and economic values should be attachedwhere feasible. The basis
for the selection of altemative proposal for the project designmust be stated.

I viii) (A) Public Consultation, Involvement and Disclosure.During the field surueys
the Consultants will organize workshops and formal public consultation
sessionsat province level to identify main stakeholder,their categories,their

I Consultantsshould describethe objectives of EMP and key environmentaland social


components,role of functionaries, and road safety. The key components of EMP

I shouldemphasizebut not limited to:


alignment and shoulder width options, road side safety, structural recommendations,
topography, geoiogy and soil, seismic activities, fLood hazards,camp sites, borrow
I pits, archaeologicalsites,land acquisitionand resettlement,local communitiestheir
social and cultural heritage, archaeological sites, waste disposal, air and water
quality including ground and surface water, noise, flora including roadside
I vegetation cutting and plantation, fauna including wildlife, endangeredspeciesand
their protection, traffic management, utilities, use of fertile humus soil
recommendation of environmental protection sign boards, and health risk of
I workers. EMP should identify the training and workshops programs.

x) Environmental Monitoring Plan. Identify the critical issuesrequiring monitoring


I to ensure compliance to mitigation and environmental management plans and to
measureand monitor the environmental impacts during construction and operation.
The objectives of the plan are to monitor the actual impact of the works on the
I project corridor's physical, biological and socio-economicreceptors within the
corridor. This will indicate the adequacyof the EIA. The monitoring plan should
recommend mitigation measuresfor any unexpected impact or where the impact
I level exceeds the limits. The plan should ensure compliance with legal and
community obligations including safety on construction sites. Consrjltants should

l monitor the rehabilitation of borrow areasand the restoration construction cbmpsites


according to EMP report. The monitoring plan should ensurethe safe dispoial of
excessconstruction.materials.Consultantsshould also evaluate the effectivenessof

I the mitigation measures proposed in the EMP and recommend improvements if


necessary. Aparl from regular compliance checksthe Consultantsshould generatea
tabular matrix for air, water and noise analysis,asphalt plant emissions,soil erosion

I and contamination, plantation, safety and traffic rules compliance for construction
and operationphases.
Environmental Monitoring Plan will list the procedure through which mitigation
I measuresproposed in EIA will be implemented. It will also include environmental
parameterneed monitoring, frequency and responsibilities of key players. In caseof
disagreement with local communities or stakeholders, grievances addressable
t mechanismshall be part of plan. The managementplan will develop the institutional
requirement and type of training to enhance the capabilities of staff. The total
environmental mitigation, Monitoring, equipment and training cost shall also be
t included.

Economic Assessment.This section should include the overall cost estimate in


I relation to the project benefits, environmental costs and total cost of the proposed
project. The Consultants should addressthe cost analysis of training, monitoring
activities, environmental analysis and activities, resettlement, land and property
I acquisition, and mitigation measures.

Role of Functionaries and Government Agencies Involvement. This section


I should include role of all the functionaries and variable involvement of sovernment
agenciesor authorities for the project accomplishment.

I xiii) Recommendation and Conclusions. An adequatesummary should emphasizeon


the project description and environment, environmental impacts and mitigation

I measures,alternatives, socio-cultural and socio economics,public consultation and


the resulting issues and recommendations, environmental management and
monitoring plans,economicassessment, recommendationand conclusions.

I xiv) Submission of Reports. The report should be prepared and presentedin strict
conformity to IEE/EIA regulations, 2000 and Guidelines for preparation and
submission of IEE/EIA 1997 issued under the Pakistan Environmental Protection
I Act,1997.
The title page of the reporl should specify the report name, project name, highway

I length, scaled maps and / or colored photographs, date of the report, consuitant
company name, address,phone numbers, e-mail and logos.

I The reports should include acronyms list and a copy right certificate in the name of
NHA. The reports should include all the key articles but not limited to the executive
summary, introduction, description of the project, policy, all legal and administrative

framework, description of the project environment, alternative analysis,
environmental impacts and mitigation measures, public consultation and
resettlement action plan, inter-agency and publici NGO consultation process,

t . environmental moriitoring plans, economic assessment, conclusions and


recommendations.

I II. GENERAL CONDITIONS OF CONTRACT

t 1. GENERAL PROVISIONS

I 1.1 Definitions

Unless the context otherwise requires, the following terms whenever used in this Contract

I have the following meanings:

(a) "Applicable Law" meansthe laws and any other instrumentshaving the force of law

I 2.7 ForceMajeure

2.7.1 Definition

I (a) For the purposesof this Contract, "Force Majeure" means an event which is beyond
the reasonable control of a Party and which makes a Party's performance of its

I obligations under the Contract impossible or so impractical as to be considered


impossible under the circumstances,and includes, but is not limited to, war, riots,
civil disorder, eafihquake, fire, explosion, storm, flood or other adverse weather

I conditions, strikes, lockouts or other industrial actions (except where such strikes,
lockouts or other industrial actions are within the power of the Party invoking Force
Majeure to prevent), confiscation or any other action by governmentagencies.

I (b) Force Majeure shall not include (i) any event which is causedby the negligence or
intentional action of a Party or such Party's Sub consultantsor agentsor employees,

I nor (ii) any event which a diligent Party could reasonably have been expected to
both (A) take into account at the time of the conclusion of this Contract and (B)
avoid or overcomein the carrying out of its obligations hereunder.

I (c) Force Majeure shall not include insufficiency of funds or failure to make any
payrnentrequiredhereunder.
t 2.7.2 No Breach of Contract

The failure o[ a Party to fulfill any of its obligations under the Contract shall not be
cor.sidered1o be a breachof, or dbfrult under this Contractinsdfar as such inatrility arises
from'an event of Forc6,Majeure, provided that the Party affected by such an event; (a) ha_s
I taken all reasonableprecautions,due care and reasonablealternative measuresin order to
caray out the terms and conditions of this Contract; and (b) has informed the other Party in
writing not later th1lfifteen (15) days following the occurrenceof such an event.
I 2.7.3 Extension of Time

I Any period within rvhich a Party shall, pursuant to this Contract, complete any action or
task, shall be extendedfor a period equal to the time during which such Party was unable to
perform such action as a result of Force Majeure.
I 2.7.4 Payments

I During the period of their inability to perform the Servicesas a result of an event of Force
Majeure, the Consultants shall be entitled to continue to be paid under the terms of this

I this Contract, inciuding the carrying out of the Services, provided that such notice of
suspension(i) shall specify the nature of the failure, and (ii) shall requestthe Consultantsto

I remedy such failure within a period not exceeding thirly (30) days after receipt by the

I 2.9 Termination

2.9.1 By the Client

I The Client may terminate this Contract, by not less than thirty (30) days written notice of
termination to the Consultants, to be given after the occurrence of any of the events

I specifiedinparagraphs (a) through (e) of this Sub-Clause2.9.l and sixty (60) days'in the
caseofthe event referred to in paragraph(f):

I (a) if the Consultants do not remedy a failure in the performance of their obligations

I (d) if the Client fails to comply with any final decision reachedas a result of arbitration

I 2.9.3 Cessationof Services

I Upon receipt of notice of termination under Sub-Clause2.9.I, or giving of notice of


termination under Sub-Clause2.9.2, the Consultants shall take all necessarysteps to bring
the Services to a close in a prompt and orderly manner and shall make every reasonable

I effort to keep expendituresfor this purpose to a minimum. With respect to documents


prepared by the Consultants, and equipment and materials fumished by the Client, the
Consultantsshall proceedas provided,respectively,by Sub-Clauses 3.8 or 3.9.

t 2.9.4 Payment upon Termination

I Upon termination of this Contractpursuantto Sub-Ciauses2.9.1 or 2.9.2, the Client shall


make the following paymentsto the Consultants:

T 2.9.5 Disputes about Events of Termination

t If either Party disputes whether an event specified in paragraphs(a) through (e) of Sub-
Clause2.9.1 or in paragraph(a) through (d) of Sub-Clause2.9.2 hereof has occurred,such
Party may, within forty-five (45) days after receipt of notice of termination from the other
I Party, refer the matter to arbitration pursuantto Clause 7 hereof, and this Contract shall not
be terminated on account of such event except in accordancewith the terms of any resulting

3. OBLIGATIONS OF THE CONSULTANTS

I diligence, efficiency, and economy, in accordance with generally accepted professional
techniques and practices, and shall observe sound management practices, and employ

I appropriate advancedtechnology and safe methods. The Consultantsshall always act, in


respect of any matter relating to this Contract or to the Services,as faithful advisersto the

I Client, and shall at all times supporl and safeguardthe Client's legitimate interests in any
dealingswith Sub consultantsor third parties.

I 3.2 Consultants Not to Benefit l'rom Commissions,Discounts,etc.

I The remuneration of the Consultantspursuant to Clause 6 shall constitute the Consultants'


sole remunerationin connectionwith this Contract or the Services.and the Consultantsshall
not accept for their own benefit any trade commission, discount, or similar payment in

I connection u'ith activities pursuant to this Contract or to the Servicesor in the dischargeof
their obligations under the Contract, and the Consultantsshall use their best efforts to ensure
that the Personnel, any Sub consultants, and agents of either of them similarly shall not

receive any such additional remuneration.

Confidentialify

I The Consultants,their Sub consultants,and the Personnelof either of them shall not, either
during the term or after the expiration of this Contract, disclose any proprietary or

I confidential information relating to the Project, the Services,this Contract, or the Client's
businessor operationswithout the prior written consentof the Client.

I 3.4 Professional Liability

The Consultants are liable for the consequenceof errors and omissions on their part or on

I tire part o-f their employeesin so far as.the design of the Project is.concernedto the extent
and with the limitations as speciflredhereinbelow.

t If the Client suffers any lossesor damagesas a result of proven faults, errors or omissionsin
the design of a'prrrject, the Consultantsshall matrregood such los;sesor dambges,subject to
the conditions that the maximum liability as aforesaid shall not exceed twice the total
I remunerationof the Consultantsfor design phase in accordancewith the terms of the
Contract.

I The iiability of the Consultants expires after one (1) year from the stipulated date of
completion of construction or after three (3) years from the date of final completion of the
designwhicheveris earlier.
I The Consultants may, to protect themselves,insure themselvesagainst their liabilities but
this is not obligatory. The extent of the insuranceshall be up to the limit specified in second
I para above. The Consultants shall procure the necessarycover before commencing the
Servicesand the cost of procuring such cover shall be bome by the Consultantsup to a limit
of one percent of the total remuneration of the Consultantsfor the design phase for every
T year ofkeeping suchcover effective.

I The Consultants shall, at the request of the Client, indemnifu the Client against any or all
risks arising out of the furnishing of professional servicesby the Consultantsto the Client,
not covered by the provisions contained in the first para above and exceedingthe iimits set

I 3.5 Other Insurance to be taken out by the Consultants

I The Consultants(a) shall take out and maintain, and shall causeany Sub consultantsto take
out and maintain, at their (or the Sub consulta nts', as the case may be) own cost but on
terms and conditions approved by the Client, insurance against the risks, and for the

I coverage,as are specified in the SC; and (b) at the Client's request,shail provide evidenceto
the Client showing that such insurance has been taken out and maintained and that the
current premiums have beenpaid.

I 3.6 Consultants' Actions Requiring Client's Prior Approval

I The Consultantsshall obtain the Client's prior approval in writing before taking any of the
following actions:

I (a) Appointing such Personnel as are listed in Appendix-C merely by title but not by
name;

I (b) entering into a subcontractfor the performance of any part of the Services, it being
understood(i) that the selection of Sub consultantsand the terms and conditions of
the subcontract shall have.been approved in writing by the Client prior to the

I execution of the subcontract, and (ii) that the Consultants shall remain fully liable
for the. performance of the Seivices by lhe Sub consultants and its Personnel
pursuantto this Contract;

I (c)anyotheractionthatrnaybespecifiedintheSC.

I 3.7 Reporting Obligations

Consultantsshall submit to the ClienJ the,reportsand documents specified in Aplefrdix
I B in the form, in the numbers,and within the periods set forth in the said Appendix.

3.8 Documents Prepared by the Consultants to be the Property of the Client


I All plans, drawings,specifircations, reports,and other documentsand softwarepreparedby
the Consultantsin accordancewith Sub-Clause3.7 shall become and remain the property of
I the Client, and the Consultants shall, not later than upon termination or expiration of this
Contract, deliver (if not already delivered) all such documents and software to the Client,
together with a detailed inventory thereof. The Consultants may retain a copy of such

I 3.10 Accounting,InspectionandAuditing

I The Consultants(i) shall keep accurateand systematic accountsand records in respect of


the Services hereunder, in accordancewith internationally acceptedaccounting principles
and in such form and detail as will clearly identify all relevant time charges,and cost, and

t the basis thereof, and (ii) shall permit the Client or its designated representatives
periodically, and up to one year from the expiration or termination of this Contract, to
inspect the same and make copies thereof as well as to have them audited by auditors

I appointedby the Client.

4. CONSULTANTS' PERSONNEL AND SUBCONSULTANTS

I 4.1 Description of Personnel

I The titles, agreed job descriptions, minimum qualifications, and estimated periods of
engagementin the carrying out of the Services of the Consultants' Key Personnel are
describedin Appendix C. The Key Personneland Sub consultantslisted by title and/or by

I name, as the casemay be, in Appendix C are deemedto be approvedby the Client.

4.2 Removal and/or Replacementof Personnel

Personnelprovided as a replacementto that of the Personnelbeing replaced.

I 5. OBLIGATIONS OF TIIE CLIENT'

t 5.1 Assistance,Coordination and Approvals

t The Client shall use its best efforls to ensurethat the Client shall:

Consuitantsupon completion of the Servicesunder this Contact;

I (a) co-ordinate and get or expedite any necessaryapproval and clearancesrelating to the
work from any Government or Semi-GovemmentAgency, Departmentor Authority,
and other concernedorganizationnamed in the SC.

I 5.1.3 Approvals

The Client shall accord approval of the documentswithin such time as specifiedin the SC,

land of which accessis required for the performanceof the Services.
I 5.3 Changesin the Applicable Law

I If, after the date of this Contract, there is any changein the Applicable Law which increases
or decreasesthe cost of the Services rendered by the Consultants,then the remunerations
and direct costs otherwise payable to the Consultantsunder this Contract shall be increased

provided that if such services, facilities and property shall not be made available to the

I Consultantsas and when so specified, the Parties shall agree on; (i) any time extensionthat
it may be appropriateto grant to the Consultantsfor the performance of the Services; (ii)
the manner in which the Consultantsshall procure any such services, facilities and property

In consideration of the Services performed by the Consultants under this Contract, the

I 6. PAYMENTS TO THE CONSULTANTS

6.1 Lump Sum Remuneration

I The Consultants'totalremunerationshall not exceedthe ContractPrice and shall be a fixed


lump sum including all staff costs, incured by the Consultantsin carrying out the Services

I describedin Appendix A. Other reimbursabledirect costs expenditure,if any, is specified in


the SC. Except as provided in Sub-Clause5.3, th€ ContractPrice may only be increased
above the amounts stated in.Sub-Clause 6.2.if the Parties have asreed to additional

I paymentsin accordancewith Sub-Clause s 2.5',2.6,5.4 or 6.6.

6.2 Contract Price


I (a) Foreign culrency payment.shallbe maclein the cuffency or currenciesspecilied as

I 6.5 Delayed Payments

I If the Client has delayed paymentsbeyond the period statedin paragraph(b) of Sub-Clause
6.4, frnancing charges shall be paid to the Consultants for each day of delay at the rate
specifiedin the SC.

I 6.6 Additional Services

I AdditionalServicesmeans:

(a) Services as approved by the Client outside the Scope of Services described in

I (b)
Appendix A;

Servicesto be performed during the period extended pursuant to Sub-Clause2.6,

I beyondthe original scheduletime for completionof the Services;and

(c) any re-doing of any part of the Servicesas a result of Client's instructions.

I If, in the opinion of the Client, it is necessaryto perform Additional Services during the
currency of the Contract for the pulpose of the Project, such Additional Services shall be

t performed with the prior concurrenceof both the Parties.The Consultantsshall inform the
Client of the additional time (if any), and the additional remuneration and reimbursable
direct costs expenditule for such Additional Services. If there is rro disagreement.by the

I Any dispute betweenthe Parlies as to matters arising pursuantto this Contract which cannot
be settled amicably within thirly (30) days after receipt by one Party of the other Party's
