    MEMORANDUM OF AGREEMENT

    This agreement is between ____ (state the name of the Artist) and OAK
    Philippines, made this ___ day of _________, 2018.

    ___ NAME OF ARTIST __, Filipino, of legal age, with residence address
    at _____________________________________, herein referred to as
    “FIRST PARTY”.

    and

    OAK, a corporation duly registered in the Philippines, with office


    residence address at _____________________________________,
    herein referred to as “SECOND PARTY”.

    WITNESSETH:

    WHEREAS, the FIRST PARTY agree that his/her artworks be exhibited in


    Solaire located at Entertainment City, 1 Aseana Ave, Parañaque, Metro Manila for a
    period of THREE (3) MONTHS, particularly, July 2018 to September 2018.

    WHEREAS, the FIRST PARTY agree that a portion of the sale of the artwork
    shall be given to the SECOND PARTY, OAK Phil. and charity partner, SMILE TRAIN
    PHIL.

    NOW THEREFORE, for and in consideration of this agreement, herein parties


    mutually agree as follows:

    1. The SECOND PARTY shall have the right to use all the artworks of the
    FIRST PARTY, exhibited at the Solaire Entertainment City, 1 Aseana
    Ave, Parañaque, Metro Manila. The artworks shall include, but not limited
    to: (a) photo, (b) videos, and (c) documentation relative to the said
    artworks of the said FIRST PARTY.

    2. The artworks of the FIRST PARTY shall be exhibited at the Solaire


    Entertainment City, 1 Aseana Ave., Parañaque, Metro Manila.
    3. The FIRST PARTY shall undertake to mention and include SECOND
    PARTY in all marketing avenues including interviews, facebook, instagram
    and the like, especially those marketing avenues that they are featured.

    4. The FIRST PARTY shall deliver and pick up the artworks at specific time
    as per advised of the SECOND PARTY, during the ingress and egress.

    5. The FIRST PARTY cannot sell his/her artworks without giving the share of
    the SECOND PARTY AND THE CHARITY PARTNER, SMILE TRAIN
    PHIL.

    6. The SECOND PARTY shall not be liable for any damages of whatever
    kind which occurred when the said artworks is transported to the venue of
    the exhibits and during the duration of the exhibit.

    7. All the necessary expenses for the exhibit including the cost of the
    transportation of the said artworks shall be for the account of the FIRST
    PARTY.

    8. The GROSS SALE shall be partitioned as follows: (a) FIFTY PERCENT


    (50%) of the sale shall be given to the FIRST PARTY; (b) THIRTY
    PERCENT (30%) shall be given to the SECOND PARTY and (c) the
    remaining TWENTY PERCENT (20%) shall be given to SMILE TRAIN
    PHIL.

    9. The FIRST PARTY shall post about the SECOND PARTY, OAK and the
    ARTWORK at least once a week during the duration of the exhibit and
    even after the duration of the same.

    10. The facts and circumstances disclosed during the conferences and
    meetings by herein parties shall be confidential to the said parties. As
    such, the FIRST PARTY and the SECOND PARTY shall not disclose in
    any manner, the said facts and circumstances to any third person.
