    ARTICLES OF INCORPORATION OF

    ABC-XYZ HOMEOWNERS’ ASSOCIATION, INC.

    KNOW ALL MEN BY THESE PRESENTS:

    That we, the undersigned, Filipino citizens, of all legal age and residents of the Philippines,
    have this day voluntarily associated ourselves for the purpose of forming a non-stock, non-profit
    corporation under the laws of the Republic of the Philippines, more particularly under R.A. No.
    9904, otherwise known as Magna Carta for Homeowners and Associations.

    AND WE HEREBY CERTIFY:

    FIRST: That the name of said corporation shall be ABC-XYZ HOMEOWNERS’


    ASSOCIATION, INC.

    SECOND: That the purposes for which said Corporation is formed are as follows:

    1. To construct, manage, maintain and operate adequate facilities and services


    for its members;

    2. To initiate and organize socio-cultural projects and activities which will awaken
    community consciousness and belonging;

    3. To promote, enhance and foster the development and improvement of the


    quality of life of the members through livelihood projects and other economic
    activities;

    4. To acquire, accept donations, purchase, own, hold, develop, lease, mortgage,


    pledge, exchange, sell, transfer or otherwise invest, deal in or trade, in any
    manner permitted by law, real and personal property of every kind and
    description, or any interest therein, as may be necessary for the
    accomplishment of the purposes of the Association;

    5. To borrow and otherwise contract indebtedness and issue notes, bonds, and
    other evidence of indebtedness and to secure payment therefor by mortgage,
    pledge or deed of trust of, or through encumbrance or any or all or its then-
    owned or after-acquired real and personal properties and assets;

    6. To enter into, make, perform and carry out or cancel and rescind contracts of
    every kind and for any lawful purposes with any person, firm, association,
    corporation, domestic or foreign or others;

    7. To do and perform any other acts and things, and to have and exercise any
    other powers, which may be necessary, convenient and appropriate to
    accomplish the purposes for which the Association is organized;

    THIRD: That the principal office of the Coporation is located at Brgy. Basak San Nicolas,
    Cebu City, Cebu, Philippines;

    FOURTH: That the Corporation shall have a perpetual existence from issuance of the
    certificate of incorporation;

    FIFTH: That the names, nationalities, and residence addresses of the incorporators of
    said Corporation are as follows:

    PETER DOE Filipino Brgy. Basak San Nicolas, Cebu City, Cebu

    SIXTH: That the number of directors of the Corporation shall be three (3); and the names,
    nationalities, and residence addresses of the first directors who are to serve until their successors
    are elected and qualified as provided for in the By-Laws are as follows:

    SEVENTH: That the present members of the Corporation, are the incorporators and
    directors named herein. Additional members may be admitted in accordance with the By-Laws
    and whose names shall be submitted to the Department of Human Settlements and Urban
    Development from time to time.

    EIGHT: That the Corporation shall be maintained by fees, dues, assessments or charges
    paid by its members and other income as the Corporation may derive from the pursuit of its
    livelihood and economic activities, as well as voluntary contributions, donations or loans from
    persons, partnerships, corporations and other entities;

    NINTH: That the initial operating capital of the Corporation is ONE MILLION PESOS
    (P1,000,000.00) contributed by the following:

    PETER DOE P300,000.00
    RICHARD DOE P300,000.00

    TENTH: That JANE DOE has been elected by the members as Treasurer of the
    Corporation to act as such until after the successor is duly elected and qualified in accordance
    with the By-Laws, that as Treasurer, authority has been given to receive in then name and for the
    benefit of the Corporation, contributions or donations given by the members, who certifies the
    information set forth in the eighth and ninth clauses above.

    ELEVENTH: That the incorporators undertake to change the name of the corporation
    immediately upon receipt of notice from the Commission that another corporation, partnership or
    person has acquired a prior right to the use of such name, that the name has been declared not
    distinguishable from corporation, or that it is contrary to law, public morals, good customs or public
    policy.

    IN WITNESS WHEREOF, we have hereunto signed these Articles of Incorporation, this


    19th day of April, 2021 in the City of Cebu, Province of Cebu of the Republic of the Philippines.
