    Topic 3 : Financing / Prospectus

    1. Advise the following situations:

    a) Upon reading of the public disclosure made by the Securities Commission (SC) on
    Kayalam Berhad’s registrable prospectus, Mr Rehab, a prospective investor seems
    very interested to subscribe to the securities upon its issuance later.

    b) In Suddin Berhad’s prospectus, it was stated that the nature of the business and/or
    investment to be committed is to collaborate a joint venture of a high-rise project
    with Hong- Kong Pte Ltd, a company from China. However, recently, Malaysian
    government announced all the collaborations with any company from China
    should be put on hold. Mr Rassam had just been allotted with 1000 units of shares
    as disclosed in the abovesaid prospectus.

    c) In the Ucrete Berhad’s (the company) prospectus, there was a supporting


    statement on the potential of the company’s investment taken from Prof Ghabar,
    who is an expert in Economics. However, Prof Ghabar said that he did not give his
    consent to the company to use his statement in support for the company’s
    prospectus.
