MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS

This MEMORANDUM OF AGREEMENT is entered into this ___th of


September 2018 in the City Parañaque, Metro Manila, Philippines by and between
MERCEDITA T. DUMLAO, of legal age, married, Filipino and presently residing
at No. 79 Thomas St., Multinational Village, Paranaque City, hereinafter referred to
as the FIRST PARTY; and

JESUS D. LADDARAN, Filipino, of legal age, married and resident of NIA


Compound, Ambatali, Ramon, Isabela herein after referred to as the SECOND
PARTY;
WITNESSETH

WHEREAS, the subject of this memorandum of agreement is a parcel of land


covered by Transfer Certificate of Title No. 47185 duly registered in the name of
the FIRST PARTY more particularly described as follows:
“A parcel of land (Lot 3905 of the Cadastral Survey of
Paranaque, Cad 299, Plan Ap-04-002746, LRC Case No.
M- 50, LRC Record No. N – 58513) situated in the Barrio
of La Huerta, Municipality of Paranaque, Metro
Manila. containing an area of NINE THOUSAND TWO
HUNDRED TEN (9,210) square meters more or less.”

WHEREAS, the FIRST PARTY is the absolute owner of the said property
and that she warrants that she has a good title thereto, and that the land is not subject
to any encumbrances or liens, and has no pending claims against her;

WHEREAS, the herein parties shall commit and bind themselves to the
following agreement:
1. The FIRST PARTY shall appoint and constitute the SECOND PARTY as
the ADMINISTRATOR of the subject land and hereby granted the exclusive
authority to negotiate and transact for the sale and conveyance of the subject
property;
2. The FIRST PARTY hereby grants the SECOND PARTY to represent the
latter to any governmental instrumentalities that may be involved in the transactions
or negotiation with respect to the subject land:
3. The SECOND PARTY in the event of a contract for the conveyance/sale
of the property is to be executed and entered by the FIRST PARTY and the would
be BUYER, the FIRST PARTY shall deliver Twenty Five (25) Percent from the
NET Proceeds of the transaction as Administrator- Agent Commission
4. The stated Twenty Five (25%) Percent commission shall be for the account
of the SECOND PARTY who is given the leeway to employ or commission other
parties for purposes of the authorities given to him, and SECOND PARTTY shall
be responsible for the payment of the services under his line;
5. The SECOND PARTY by virtue of his being the administrator of the
property shall be notified of any direct offer or proposal pertaining to the subject
land that will be made by other parties;
6. The SECOND PARTY as Administrator shall cause the settlement of taxes
due and other necessary expenses for the preservation of the subject land, and that
any expenses incurred shall be subject to reimbursement from the FIRST PARTY.

IN WITNESS HEREOF, the parties by their free will and accord has set their
signatures this ____th day of September 2018, at Paranaque City, Metro Manila,
Philippines.

day of ________________, 2018 personally appeared the parties who exhibited to
me their authentic identification documents appearing below her typewritten name
above is known to me to be the same person who executed the foregoing instrument
and acknowledged to me that the same is her own free act and voluntary deed.
